Orthofix SeaSpine Transaction Partner Letter
Exciting News: Creating a New Leader in Spine and Orthopedics
October 11, 2022
Dear ,
I am pleased to share some exciting news that means improving more patients lives with even more innovation Orthofix and SeaSpine have announced that we are merging to create a new global leader in spine and orthopedics.
By way of background, SeaSpine is a medical technology company focused on surgical solutions for the treatment of spinal disorders. You may be familiar with their Flash Navigation System with 7D technology and biologics solutions, among other differentiated technologies.
The combination of Orthofix and SeaSpine is transformational, bringing together two complementary organizations. Together with SeaSpine, we will be able to provide surgeons and hospital partners a more comprehensive solution using cutting-edge technology at every level.
While the benefits of our combination are far reaching, our merger announcement is just the first step toward officially bringing Orthofix and SeaSpine together. We expect to close the transaction in the first quarter of 2023, following approval by both companies shareholders and customary closing conditions and regulatory approvals. Until then, Orthofix and SeaSpine will remain separate companies. We are operating as usual and working with you as we always have.
We greatly value our relationship with you and are confident this merger will create many opportunities to build on it. We will keep you updated about any developments that may be of interest to you as the transaction progresses. Of course, I am also available, as always, if you have any questions.
Thank you for your continued support of Orthofix.
